Terms of Service

Please read these terms carefully before using the NexelioHealth platform. By accessing or using our services, you agree to be bound by these terms.

1. Account Terms

You must be at least 18 years old and a licensed healthcare professional or authorized representative of a healthcare organization to create an account on NexelioHealth.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use.

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. We reserve the right to suspend or terminate accounts that contain inaccurate or fraudulent information.

Each user must have their own unique login credentials. Sharing of account access is prohibited and may result in account termination.

2. Acceptable Use

You agree to use NexelioHealth only for lawful purposes and in compliance with all applicable healthcare regulations, including HIPAA, state privacy laws, and professional licensing requirements.

You may not use our platform to store, transmit, or process data in violation of any law or regulation. You are solely responsible for ensuring your use of the platform complies with your obligations as a healthcare provider.

Prohibited activities include: attempting to gain unauthorized access to our systems, interfering with platform performance, reverse engineering our software, scraping data, distributing malware, or using the platform for any purpose other than legitimate healthcare operations.

We reserve the right to investigate and take appropriate action against anyone who violates these terms, including removing content, suspending accounts, and reporting to law enforcement.

3. Subscription & Billing

NexelioHealth offers various subscription plans as described on our pricing page. Free tier accounts are available with limited features. Paid subscriptions are billed monthly or annually as selected during sign-up.

All fees are exclusive of applicable taxes unless stated otherwise. You are responsible for any taxes associated with your subscription.

For paid plans, billing begins on the date you subscribe and recurs on the same date each billing cycle. You authorize us to charge your payment method on file for all applicable fees.

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately, with prorated charges. Downgrades take effect at the end of the current billing period.

Refunds are handled on a case-by-case basis. If you are dissatisfied with our service within the first 14 days, contact us for a full refund.

4. Data Ownership & PHI

You retain full ownership of all data you input into NexelioHealth, including patient records and Protected Health Information (PHI). We do not claim any ownership rights to your data.

We process PHI solely as your Business Associate under HIPAA. Our obligations regarding PHI are governed by the Business Associate Agreement (BAA) executed between you and NexelioHealth.

Upon termination of your account, you may export your data within 30 days. After this period, we will securely delete your data in accordance with our data retention policies and HIPAA requirements.

You are responsible for obtaining any necessary patient consents and authorizations required for your use of our platform.

5. Business Associate Agreement (BAA)

NexelioHealth will enter into a HIPAA Business Associate Agreement with all covered entity customers prior to the processing of any PHI.

The BAA outlines our respective obligations regarding the use, disclosure, and safeguarding of PHI. It forms an integral part of these Terms of Service for covered entity customers.

6. Service Level & Availability

We strive to maintain 99.9% platform uptime. However, we do not guarantee uninterrupted access and are not liable for any downtime or service disruptions caused by maintenance, third-party failures, or force majeure events.

Scheduled maintenance will be communicated in advance whenever possible. Emergency maintenance may be performed without prior notice when necessary to protect the security or integrity of the platform.

We provide customer support during business hours (Monday–Friday, 9 AM – 6 PM ET). Critical security issues are monitored 24/7.

7. Termination

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access until then.

We may suspend or terminate your account immediately if you violate these terms, fail to pay fees, or if we are required to do so by law. We will provide reasonable notice when possible.

Upon termination, your right to use the platform ceases. Provisions that by their nature should survive termination (including data ownership, limitation of liability, and dispute resolution) will remain in effect.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXELIOHEALTH LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

NexelioHealth is a software platform and does not provide medical advice, diagnosis, or treatment. You are solely responsible for all clinical decisions made using our platform. We are not liable for any patient outcomes resulting from your use of our services.

9. Indemnification

You agree to indemnify, defend, and hold harmless NexelioHealth LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the platform, your violation of these terms, or your violation of any third-party rights.

10. Governing Law & Disputes

These Terms are governed by the laws of the State of Maryland, USA, without regard to conflict of law principles.

Any disputes arising from these terms or your use of the platform shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Howard County, Maryland.

11. Changes to These Terms

We reserve the right to modify these Terms of Service at any time. We will notify you of material changes at least 30 days before they take effect by email and/or by posting a notice on the platform.

Your continued use of the platform after changes take effect constitutes acceptance of the updated terms. If you do not agree with the changes, you must discontinue use and cancel your subscription.
